Terms of Service
1. The Engagement
Kyntal (the “Company”) provides executive search and talent advisory services powered by our proprietary Agentic Search Architecture. By engaging our services or accessing our platform, the Client agrees to be bound by these Terms.
2. Proprietary Methodology
The Client acknowledges that the Autonomous AI Agents, scouting algorithms, and vetting frameworks utilised by Kyntal are the exclusive intellectual property of the Company. Engagement does not grant the Client any rights to the underlying software, agent logic, or architecture used to identify candidates.
3. Candidate Ownership and Introductions
- Effective Period: An introduction is deemed to have occurred when Kyntal provides a candidate profile, CV, or agent-vetted data to the Client.
- Ownership: Kyntal maintains Ownership of Introduction for a period of 12 months from the date of the most recent communication regarding a candidate.
- Circumvention: If the Client hires a candidate introduced by Kyntal within this 12-month period for any position without Kyntal’s involvement, the full agreed placement fee will be due immediately.
4. Fees and Payment
- Standard Terms: Fees are calculated as a percentage of the candidate’s first-year Total Targeted Earnings (TTE), unless a fixed-fee structure is agreed in writing.
- Invoicing: Invoices are issued upon the candidate’s signed acceptance of an offer.
- Payment Terms: Payment is due within 30 days of the invoice date. Late payments will incur interest at a rate of 8% above the Bank of England base rate.
5. The Talent Briefing and Accuracy
Kyntal utilises AI Agents to verify the top 1% of Machine Learning talent. While we deploy rigorous vetting, the Client is ultimately responsible for conducting final due diligence, background checks, and right-to-work verifications before an appointment is made. Kyntal shall not be liable for any loss or damage resulting from a candidate’s performance or conduct.
6. Confidentiality
Both parties agree to treat all non-public information, including candidate identities and Kyntal’s search methodologies, as strictly confidential. This obligation survives the termination of any specific search assignment.
7. Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts in Leeds.
